Welcome to SABLEWOOD CO. The terms “we,” “us,” and “our” refer to SABLEWOOD CO., operated by Develop Together LLC.

SABLEWOOD CO. operates this online store and website, including the related information, content, features, tools, products, and services made available to you (collectively, the “Services”). Our store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when you access or use the Services.

Please read these Terms carefully. They contain important information concerning your legal rights, including limitations of liability and warranty disclaimers.

By visiting, interacting with, purchasing from, or otherwise using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you should not use the Services.

Placing an order constitutes an offer to purchase the selected products.

An order is not finally accepted until payment has been successfully processed and we confirm or begin fulfillment of the order.

We reserve the right to refuse, limit, modify, or cancel an order when reasonably necessary, including because of:

payment or fraud concerns;
incorrect pricing or product information;
product unavailability;
supplier inventory changes;
shipping restrictions;
suspected resale, misuse, or prohibited activity; or
other legitimate operational reasons.

If we cancel or materially modify an order, we will make reasonable efforts to contact you using the information provided with the order.

Please review your order carefully before submitting it.

If you need to request an order change or cancellation, contact support@sablewoodco.com as soon as possible. We cannot guarantee that an order can be changed or cancelled after it has entered fulfillment.

Returns and refunds are governed by our Return & Refund Policy, available on our website.

Products purchased through SABLEWOOD CO. are intended primarily for personal or household use and not unauthorized commercial resale.

SECTION 4 — PRICES, PAYMENTS, AND BILLING

Prices, promotions, discounts, and offers may change without notice.

The price applicable to an order is generally the price displayed when the order is placed, subject to correction of obvious errors or other circumstances permitted by applicable law.

Unless otherwise stated, product prices do not include shipping charges or applicable taxes. Any applicable charges will be presented during checkout before payment is completed.

You agree to provide accurate and current billing, payment, and account information.

By submitting a payment method, you represent that you are authorized to use it and authorize us and our payment service providers to charge applicable order amounts, including product charges, shipping charges, and applicable taxes.

Payments may be processed by Shopify Payments, PayPal, card networks, banks, or other authorized payment providers made available through our checkout.

SECTION 5 — SHIPPING, FULFILLMENT, AND DELIVERY

SABLEWOOD CO. currently serves customers within the United States.

We use third-party suppliers, manufacturers, fulfillment partners, and shipping carriers to fulfill some or all customer orders. As a result, products may ship directly from a third-party fulfillment location rather than from an SABLEWOOD CO.-operated warehouse.

Items within the same order may occasionally arrive in separate shipments.

Processing and delivery estimates are provided for convenience and are not guaranteed unless we expressly state otherwise.

Shipping times can be affected by inventory availability, supplier processing, carriers, destination, weather, holidays, operational interruptions, or circumstances outside our reasonable control.

Shipping charges, when applicable, are displayed at checkout.

Title and risk of loss will transfer in accordance with applicable law and the circumstances of delivery.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and the materials made available through them, including SABLEWOOD CO. branding, text, design elements, graphics, photographs, videos, logos, and other content, are owned by or licensed to SABLEWOOD CO., Develop Together LLC, our suppliers, manufacturers, licensors, Shopify, or other applicable rights holders.

You may use the Services for lawful personal and non-commercial purposes.

Except where expressly permitted, you may not reproduce, distribute, modify, republish, commercially exploit, or create derivative works from materials on the Services without authorization from the applicable rights holder.

SABLEWOOD CO. and related original branding, logos, designs, and brand identifiers may not be used without our prior written permission.

Shopify and other third-party trademarks remain the property of their respective owners.

All rights not expressly granted are reserved.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

SABLEWOOD CO. is powered by Shopify, which enables us to provide the Services.

However, sales and purchases made through our store are transactions directly between you and SABLEWOOD CO.

Shopify is not the seller of the products offered by SABLEWOOD CO. and is not responsible for fulfillment, product quality, customer service, refunds, or other aspects of the sale between you and SABLEWOOD CO., except to the extent Shopify separately provides a service directly to you.

To the extent permitted by applicable law, you acknowledge that Shopify and its affiliates are not responsible for claims, losses, or liabilities arising solely from products purchased from SABLEWOOD CO.

Personal information collected through the Services is handled in accordance with our Privacy Policy, which is available on our website.

Because our store is hosted by Shopify, Shopify may collect and process certain information relating to your access to and use of the Services in order to operate and improve its platform.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SABLEWOOD CO., DEVELOP TOGETHER LLC, OUR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES.

THIS MAY INCLUDE, WHERE PERMITTED BY LAW, LOST PROFITS, LOST REVENUE, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES.

NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Some jurisdictions do not permit certain limitations or exclusions, in which case those limitations apply only to the maximum extent permitted by law.

SECTION 18 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless SABLEWOOD CO., Develop Together LLC, Shopify, and our respective affiliates, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from:

your material violation of these Terms;
your violation of applicable law or another person's rights; or
your misuse of the Services.

This obligation does not apply to claims caused by our own unlawful conduct where liability cannot legally be shifted to you.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with the policies and rules referenced on the Services, constitute the agreement governing your use of the Services, except where another written agreement expressly applies.

Nothing in these Terms limits rights that cannot legally be waived.

These Terms and any dispute arising from or relating to the Services will be governed by the laws of the State of Wyoming, United States, together with applicable federal law, without regard to conflict-of-law principles, except where mandatory consumer-protection law requires otherwise.

Subject to applicable law, disputes that cannot be resolved informally may be brought before the appropriate state or federal courts located in Wyoming.

Nothing in this section deprives a consumer of protections or remedies that cannot lawfully be excluded.
